Terms and Conditions of Sale

The following Terms and Conditions of Sale apply to all products purchased from Cooper Digital and its 3rd party online marketplace outlets.

Acceptance of Terms:

Cooper Digital commencement of performance and/or delivery shall not constitute a waiver of these terms and conditions or any acceptance of any terms and conditions contained in the Customer’s order or other documents. Acceptance of any product, service, or remission of payment by the Customer will be construed as acceptance of Cooper Digital terms and conditions. Any dispute with respect to any order placed with Cooper Digital shall be governed by the laws of the State of Ohio.

Payment Policy:

All online purchases require payment in advance via Credit Card or Electronic Funds Transfer (ACH/Wire). Alternatively, Customer may elect to mail a check or utilize 3rd party financing. Orders will not begin processing until payment has been cleared and/or financing has been completed. Payment stops, reversals, or chargebacks shall result in order cancellation or withholding of further performance with actual costs incurred due to Cooper Digital. In the event of a payment reversal after equipment has been delivered, Cooper Digital may pursue collection efforts including, but not limited to, equipment repossession; UCC filing; and/or legal action with incurred expenses being recovered for losses.

Delivery & Transfer of Goods:

Cooper Digital will make reasonable efforts to ship the Order for delivery on or about the estimated times listed on the checkout page or any communications of estimated delivery times. All delivery times, whether communicated verbally or written are estimates and shall in no way be construed as guaranteed. Any failure by Cooper Digital to make shipment as scheduled or requested shall not constitute cause for cancellation, does not constitute a breach of contract and/or does not entitle Customer to damages of any kind. Cooper Digital shall retain absolute discretion as to the mode and method of shipments, including express or parcel post for small shipments. Cooper Digital will prepay and bill freight on shipments unless specifically quoted otherwise or upon written instruction from the Customer. Where the Customer has requested
expedited freight, the Customer will be responsible for the incurred additional charges. Orders are shipped at the Customer’s risk and Cooper Digital obligation to deliver Orders is discharged upon the Order’s delivery in good condition to the carrier. Shipments are FOB Cooper Digital factory or warehouse. Partial shipments will not be made without explicit permission from the customer. Federal, state, and local taxes, duties, and other charges are the responsibility of the Customer. If for any reason Customer is unable or unwilling to take delivery of the Order, Cooper Digital may, at its sole discretion, store the Order, and any and all costs associated with such storage, including taxes or insurance, shall be immediately paid by Customer.

Inspection Period & Damage Policy:

There is a strict fifteen (15) day inspection period. Claims for shortage or damaged goods must be made within fifteen (15) days of receipt by the Customer. All claims for loss or damage in transit must be made by the consignee directly to the carrier. Cooper Digital will make commercially reasonable efforts to render aid and assistance in the presentation and enforcement of such claims without waiver of our rights to have compliance with the terms of payment of our invoices.

Order Change Policy:

Any changes to processing orders 7 business days after submission of any deposits or payment may be subject to a change fee of 3% of the total purchase price. Any accessories or materials already produced specific to equipment purchased must be purchased as an accessory to the order. No change requests will be honored after completion of production or 30 days, whichever comes first.

Cancellation Policy:

An order may be canceled without penalty within 3 business days (grace period) of order submission. After the grace period, if customer cancels all or any portion of the Order prior to shipment, a 10% cancellation fee will be applied. Custom orders, non-stock products, or orders that have elapsed thirty (30) or more calendar days after submission, but prior to shipment shall be non-cancellable.

Return Policy:

Return eligibility on purchased equipment is outlined by purchase type below. Product malfunctions and/or material defects shall be covered under Cooper Digital Limited Warranty.

Products returned without Cooper Digital explicit authorization are not accepted. Products returned for credit/refund must be in accordance with this Agreement and subject to Cooper Digital’s sole discretion. Returned products must be unused, in original packing, and in saleable condition, subject to Cooper Digital quality control and test inspection. A restocking charge of $25.00 or 20% of the purchase price (whichever is greater) plus any repacking or reconditioning costs will be deducted from the credit/refund. Original shipping costs are non-refundable. Credits/refunds will be issued to the original form of payment upon Cooper Digital receipt and inspection of the returned goods.

Force Majeure:

Cooper Digital shall not be liable for any delay in the delivery of or failure to deliver the Order, or for any delay in the performance of or failure to perform any term of this Agreement, if the delay or failure is caused by, related to, or arising out of a circumstance beyond the reasonable control of Cooper Digital, including, without limitation, the following circumstances: (a) acts of God; (b) flood, fire, earthquake, explosion, or other casualty; (c) war, invasion, hostilities (whether war is declared or not), terrorist threats or acts, riot or other civil unrest; (d) actions, embargoes or blockades
in effect on or after the date of this Agreement; (e) law, order, or other action by any governmental authority; (f) strikes, material shortages, labor stoppages or slowdowns, inability to obtain parts or materials, delays in transit, or other industrial disturbances; (g) shortage of adequate power or transportation facilities; and (h) pandemic, epidemic, or disease, including without limitation COVID-19. If Cooper Digital is wholly or partially unable to perform or deliver because of any circumstance beyond its reasonable control, Cooper Digital may cancel an order without any further liability to Customer. Cooper Digital and Customer agree that a Force Majeure event does not require the circumstance beyond Cooper Digital reasonable control to be unforeseeable at the time they enter into this Agreement. A Force Majeure event shall not result in any variation or exception to the cancellation policy.

Future Expansion / Additions:

In the event of any expansion or addition of an existing LED video display system, the customer acknowledges that color/brightness variations may occur due to the general nature of the production batches and the natural aging color shift of LEDs. No agent, employee, dealer/distributor, or representative of Cooper Digital may bind or guarantee the closeness or accuracy of batch matching, calibration, or future availability of the same production batch. Cooper Digital shall not be liable to the customer for any variations in color/brightness due to aging or availability of the original production batch and shall not constitute a reason for return. The Customer is responsible to maintain the repair of batch-specific parts via Cooper Digital after-sales support services and responsibly notify Cooper Digital of any intent to expand an existing system. Any purchase made on Cooper Digital with intention of expanding an existing system of LED panels, without notification to Cooper Digital of intentions to expand, does not guarantee color/brightness matching regardless of the time between purchases and/or actual usage time. Any brightness and/or color inconsistency as a result of different production batches, uneven aging, customer’s intent to expand an existing system, or purchase parts outside of their production batch is non-returnable and excluded from warranty whereas the product/component operates normally as intended.

Installation/Deployment Responsibility:

All online purchases are purchase of equipment ONLY. No on-site installation services are included, expressed, or implied, with exception to Cooper Digital remote technical support services available via phone and email. The purchaser is responsible for ensuring the proper deployment/installation of any product or system package purchased from Cooper Digital that complies with the product’s intended use application in line with the product’s specific installation guidelines. Improper use or incorrect installation may result in voidance of the product’s warranty and/or return eligibility. The purchaser is solely responsible for any costs associated with hiring professional services in the event of failed implementation or hiring 3rd party services for professional installation.
